Brazil's Braskem entered a new phase in June 2026 when IG4 Capital and Petrobras became co-controllers, ending Novonor's long-running position as the company's controlling shareholder. Through the Shine investment fund, IG4 took approximately 50.1% of Braskem's voting shares, while Petrobras retained about 47%. Novonor was left with roughly 4% in non-voting shares.
The transaction represents more than a change in share ownership. Petrobras and IG4 established a new shareholders' agreement providing for joint control, consensus on key corporate decisions and equal representation on Braskem's board and executive leadership. The arrangement became effective on June 3 following the transfer of Novonor's shares.
Braskem remains strategically important to Brazil's chemical and petrochemical value chain, making the ownership transition significant beyond the company's shareholders. IG4 brings experience in restructuring complex assets, while Petrobras contributes technical and industrial expertise in Brazil's petrochemical sector. Braskem itself described the new structure as a new phase focused on strengthening governance and addressing the company's challenges.

The ownership change comes while Braskem is dealing with a difficult global petrochemical environment and substantial financial pressure. In August 2026, the company sought an extrajudicial debt restructuring covering roughly US$10.9 billion, demonstrating that the new ownership structure must address financial stability alongside longer-term industrial strategy. Petrobras has also recently increased its credit limit for Braskem to help fund raw-material purchases.
Braskem's transition is therefore best understood as both an ownership change and a potential strategic reset. Novonor's exit closes a long chapter in the company's corporate history, while IG4 and Petrobras now share responsibility for steering Brazil's largest chemical producer through a challenging restructuring period. Whether the new control structure can stabilize Braskem's finances and restore competitiveness will determine the real significance of the 2026 transaction.
